Acceptance and Eligibility

2.1. Acceptance of the Terms. By accessing, registering on or using the Platform in any way, the User declares to have read, understood and fully accepted these Terms, as well as our Privacy Policy. If the User does not agree with any of these Terms, they must refrain from using the Platform.

2.2. Legal capacity. The User declares and warrants that:

(a) They are of legal age and have full legal capacity to act on their own behalf or on behalf of the legal entity they represent, in accordance with the legislation of their jurisdiction.

(b) They have full legal capacity to enter into binding contracts in accordance with applicable legislation.

(c) They are not disqualified, suspended or prevented from using the Platform for any legal or contractual reason.

2.3. Business use. When a User registers on behalf of a legal entity (company, partnership or organisation), they declare and warrant that they have the authority and legal power necessary to bind that entity to these Terms. The User declares and warrants that the person accepting these Terms has sufficient powers of representation to bind the legal entity on whose behalf they act. In such case, references to "User" will include both the natural person and the entity they represent.

2.3bis. B2B nature of the Platform. Viuzi operates exclusively in B2B mode. All Users must act as a legal entity or professional in the exercise of their commercial activity. Registering on the Platform implies the declaration and warranty that the User acts in such professional capacity. Natural persons who do not act through a legal entity or as a self-employed professional may not register or use the Platform.

2.4. Verification. Atbion reserves the right to request, at any time, documentation to prove the User's identity, age, legal capacity, professional qualifications or authorisations. Failure to provide such documentation within the required timeframe may result in account suspension or termination. Registration may be subject to identity verification (KYC) in accordance with the Estonian Anti-Money Laundering Act (Rahapesu ja terrorismi rahastamise tõkestamise seadus), as detailed in Section 7.8.

2.5. Jurisdiction and restrictions. The Platform is intended for use in the countries where it operates legally. The User is responsible for ensuring that use of the Platform complies with applicable legislation in their jurisdiction. Atbion reserves the right to restrict access from certain jurisdictions.

05

Account Registration and Roles

3.1. Registration requirement. To access the Platform's main functionalities, the User must create an account by providing truthful, complete and up-to-date information. Registration is done through Google authentication (Google Login) or any other method enabled by the Platform.

3.2. Role assignment. After registration, the User must select a role that will determine their experience and functionalities within the Platform:

(a) Service Provider Administrator (SERVICE_PROVIDER_ADMIN): Role assigned to professionals, self-employed individuals or company representatives who offer services. This role allows managing service profiles, service areas, receiving invites, sending proposals and managing team members.

(b) Service Requester Administrator (SERVICE_REQUESTER_ADMIN): Role assigned to legal entities or self-employed professionals, or representatives of legal entities, who seek to contract services in the exercise of their commercial activity. This role allows creating and managing jobs, facilities, sending invites, accepting proposals and managing team members.

3.3. Role immutability. Once selected, the account role is permanent and cannot be changed. If a User wishes to operate under a different role, they must create a new account with a different email address.

3.4. Team members. Account administrators may invite other users as team members within their organisation. Team members operate under the permissions and restrictions established by their administrator and are equally subject to these Terms.

3.5. Account security. The User is responsible for:

(a) Maintaining the confidentiality of their access credentials and authentication tokens.

(b) All activities carried out under their account, regardless of who performs them.

(c) Immediately notifying Atbion through legal@viuzi.com in the event of unauthorised access or any security breach.

3.6. One account per identity. Except as provided in Section 3.3, each natural or legal person may only maintain one (1) active account per role. Creating multiple accounts to evade restrictions, sanctions or Platform limits is prohibited and may result in the termination of all associated accounts.

3.7. Access tokens. Platform access tokens have a validity of thirty (30) minutes. Refresh tokens have a validity of seven (7) days. The Platform implements rate limits of thirty (30) requests per five (5) minutes. Abuse of authentication systems or any attempt to circumvent rate limits constitutes a violation of these Terms.

3.8. Electronic Communications.

(a) Transactional communications. Transactional communications (payment confirmations, job updates, security alerts, Terms changes, account notifications) are sent on the legal basis of contract performance (Article 6(1)(b) of the GDPR) and do not require separate consent. The User acknowledges that such electronic communications satisfy any legal requirement for written communication.

(b) Marketing and promotional communications. Commercial or promotional communications (service news, offers, personalised recommendations, satisfaction surveys) require the User's prior, express and separate consent, in accordance with Directive ePrivacy 2002/58/EC and Article 6(1)(a) of the GDPR. Such consent will be requested through an independent, pre-unchecked checkbox during the registration process or in account settings. The User may withdraw this consent at any time through their account settings or through the unsubscribe link in each commercial communication, without affecting the lawfulness of processing based on consent prior to withdrawal.

06

Nature of the Platform as Intermediary

4.1. Intermediation service. Viuzi operates exclusively as a technological intermediation platform that facilitates the connection between Service Providers and Service Requesters. Atbion is NOT a party to the service contracts concluded between Providers and Requesters through the Platform.

4.2. No employment relationship. No employment, agency, representation, partnership or joint venture relationship exists between Atbion and Service Providers. Service Providers are independent professionals operating under their own responsibility.

4.3. No guarantee of results. Atbion does not guarantee:

(a) The availability of Service Providers for a specific job or geographic area.

(b) The quality, timeliness, suitability or legality of services provided by Service Providers.

(c) The solvency, reliability or good faith of Service Requesters.

(d) That transactions between Users will be successfully completed.

4.4. Direct contractual relationship. When accepting a proposal or assigning a job, the Service Requester and the Service Provider establish a direct contractual relationship between themselves. Both parties are responsible for defining, fulfilling and enforcing the terms of that relationship in accordance with applicable legislation.

4.5. Compliance with Regulation (EU) 2019/1150. In accordance with the Regulation on promoting fairness and transparency for business users of online intermediation services, Atbion commits to:

(a) Providing professional users (Service Providers) with clear information on the parameters that determine the ranking of their profiles and services on the Platform. The main parameters determining the ranking of Service Providers in search results include, in order of relevance: (i) geographic proximity to the Job area; (ii) average rating and number of reviews; (iii) response rate and average response time to invites; (iv) Subscription Plan level (BASIC, PROFESSIONAL and ENTERPRISE plans grant higher visibility); (v) percentage of successfully completed jobs; (vi) profile verification status. Payment for a higher Subscription Plan constitutes an indirect influence on ranking in accordance with Article 5(2) of Regulation (EU) 2019/1150.

(b) At the date of these Terms, Atbion and its affiliated companies do NOT offer own services on the Platform that compete with those of Service Providers. Should this situation change, Atbion will inform professional users at least thirty (30) days in advance and will describe in detail any differential treatment applied, in accordance with Article 7 of Regulation (EU) 2019/1150.

(c) Maintaining an accessible, free and effective internal complaints management system for professional users.

(d) Designating mediators to facilitate the resolution of disputes with professional users.

4.6. Compliance with the Digital Services Regulation (EU) 2022/2065. Atbion acts as an intermediation service provider within the meaning of the Digital Services Regulation and commits to:

(a) Designating a single point of contact for Member State authorities, the European Commission and users.

(b) Establishing mechanisms for the notification and removal of illegal content. In accordance with Article 16(2) of the DSA, a valid notification must include: (i) a sufficiently substantiated explanation of the reasons why the notifier considers the information in question to be illegal content; (ii) a clear indication of the precise electronic location of such information (URL or identifier); (iii) the name and email address of the notifier; and (iv) a statement confirming the notifier's good faith regarding the accuracy and completeness of the information and allegations contained in the notification. Atbion will acknowledge receipt of the notification without undue delay and take a reasoned decision within a maximum of fourteen (14) calendar days. In accordance with Article 17 of the DSA, Atbion will issue a clear and specific statement of reasons to the notifier and the affected user, indicating the facts, the legal basis and the available appeal mechanisms.

(c) Publishing annual transparency reports that include, at a minimum: (i) the number of orders received from Member State authorities; (ii) notifications received through the notice-and-action mechanism, broken down by type of illegal content; (iii) content moderation carried out on its own initiative; (iv) the number of complaints received through the internal system; (v) the use of automated means for content moderation, including an indication of their purpose, accuracy and applied oversight measures, in accordance with Article 15 of the DSA.

(d) Ensuring that content moderation decisions are communicated with reasoning to the affected users.

(e) Giving priority to the processing of notifications received from trusted flaggers designated in accordance with Article 22 of the DSA.

(f) Atbion's single point of contact for the purposes of Articles 11 and 12 of the Digital Services Regulation, both for Member State authorities and for users, is: dsa@viuzi.com. This point of contact is available in Spanish, English and Estonian.

4.6bis. Atbion's role as intermediary under the DSA. Atbion OÜ acts as a hosting information service provider within the meaning of Article 6 of Regulation (EU) 2022/2065 (DSA). Atbion is not liable for the information stored by users as long as it has no actual knowledge of its illegal nature and, upon obtaining such knowledge, acts diligently to remove it or disable access to it.

4.7. Absence of Verification. Atbion does NOT verify, validate or guarantee the identity, criminal records, professional qualifications, licences, permits, insurance, solvency, physical or mental fitness, or the history of any Platform User. Identity and profile verifications that Atbion may carry out are limited, based on information provided by the User themselves, and do not constitute a guarantee or endorsement. Users assume full responsibility for evaluating the suitability of the other party before contracting or providing services.

07

Job Lifecycle

5.1. Job creation (DRAFT). The Service Requester can create a new Job by providing a detailed description of the required service, location, specific requirements, urgency and price conditions. The Job will remain in Draft status until the Requester decides to publish it.

5.2. Publication (PUBLISHED). When a Job is published, it becomes visible on the Platform according to location parameters, service category and other relevant criteria. The Requester may modify the Job details while it remains in this status.

5.3. Inviting phase (INVITING). The Service Requester may send Invites to selected Service Providers to participate in the Job. Invited Providers can accept the invite and submit a Proposal, or decline it.

5.4. Assignment (ASSIGNED). When the Requester accepts a Proposal from a Service Provider, the Job moves to Assigned status. At this point, the Requester's payment method is verified through a Stripe SetupIntent, but NO charge, hold or blocking of funds is made. The actual charge will only take place after completion of the service.

5.5. In progress (IN_PROGRESS). Once the Service Provider begins executing the service, the Job moves to In Progress status. Both parties can communicate through the Platform and the Provider can update the job status as they progress.

5.6. Completion (COMPLETED). When the Service Provider communicates completion of the job and the Requester confirms satisfactory receipt, the Job moves to Completed status. At this point the Settlement process begins for the collection and distribution of payment.

5.7. Terminal states.

(a) Cancelled (CANCELLED): A Job can be cancelled by the Service Requester or, in certain circumstances, by the Service Provider or by Atbion. Cancellation is governed by the policies established in Section 13.

(b) Expired (EXPIRED): A Job may expire automatically if the inviting or assignment phase is not completed within the timeframes established by the Platform.

5.8. Invite lifecycle. Invites follow their own status lifecycle: INVITED → PROPOSED → ACCEPTED → IN_PROGRESS → WORK_DONE → COMPLETED → SETTLED. The terminal states of an invite are REJECTED, WITHDRAWN and EXPIRED.

5.9. Urgency levels. Jobs can be classified according to their urgency:

(a) Immediate (IMMEDIATE): Urgent attention is required as soon as possible.

(b) Today (TODAY): The service is required to be performed on the current day.

(c) Scheduled (SCHEDULED): A specific date and time is set for the provision of the service.

5.10. Service Quality Disputes. In the event that the Service Requester is not satisfied with the service provided, they must notify the Provider and Atbion through the Platform within seven (7) calendar days following the Provider's completion notification. Atbion may mediate in the dispute and, at its reasonable discretion, determine whether the job is considered completed for Settlement purposes. The unjustified refusal by the Requester to confirm the completion of a duly completed job may result in automatic confirmation by Atbion after a review period of seventy-two (72) hours. For these purposes, "unjustified refusal" will be deemed to occur when any of the following circumstances arise: (a) the Requester does not provide specific reasons for non-conformity; (b) the reasons alleged are not related to the assigned work; (c) the Requester does not respond to the Platform's requests for clarification. Atbion will send at least one additional notification to the Requester before proceeding with automatic confirmation, informing them of the remaining time and the consequences of non-response.

08

Pricing Models

6.1. Fixed price (FIXED). Under the Fixed Price model, the Service Requester sets a predetermined price for the Job. Invited Service Providers can accept or decline the job at the indicated price, but cannot propose a different price. This model is suitable when the Requester has a clear understanding of the scope and value of the required service.

6.2. Quote (QUOTE). Under the Quote model, the Service Requester publishes the Job without a predetermined price. Invited Service Providers submit their own Proposals with their price conditions. The Requester can compare the different proposals and accept the one that best meets their needs and budget.

6.3. Currency. All transactions on the Platform are conducted in euros (EUR), unless another currency is expressly indicated in the user interface for specific markets.

6.4. Taxes. Prices indicated on the Platform do not include applicable taxes, unless expressly stated otherwise. Each User is responsible for fulfilling their tax obligations in accordance with the legislation of their jurisdiction, including but not limited to VAT or other indirect taxes, business income tax or corporate income tax and any other applicable levy. Atbion is NOT a tax adviser and does not act as a tax agent for Users. Any tax estimates or calculations that the Platform may display are for guidance purposes only and do not constitute tax advice. Users are strongly encouraged to consult a qualified tax adviser in their jurisdiction to comply with their tax obligations, especially regarding cross-border service provision within the EU. However, Atbion OÜ complies with the tax obligations directly applicable to it under VAT Directive 2006/112/EC and Estonian VAT legislation, including invoicing with VAT for platform commissions and subscription fees.

6.5. Price transparency. Before confirming any transaction, the Platform will show the User a clear breakdown including the service price, the applicable Platform Commission and estimated taxes where possible.

09

Payment Conditions

7.1. Payment processing. All payments made through the Platform are processed by Stripe, an external payment service provider. By using the Platform's payment services, the User also accepts Stripe's terms of service (available at https://stripe.com/legal). Stripe acts as a data processing sub-processor in accordance with Article 28 of the GDPR. Atbion OÜ does not directly store payment card data. Details of data processing by Stripe are described in Section 7.2 of the Privacy Policy and the Data Processing Agreement. International data transfers arising from payment processing by Stripe are covered by the EU-US Data Privacy Framework and, subsidiarily, by the Standard Contractual Clauses (Implementing Decision (EU) 2021/914), as detailed in the Privacy Policy.

7.1bis. Stripe Connect account for Providers. Service Providers must configure a Stripe Connect account to receive payments through the Platform. Setting up such an account implies acceptance of Stripe's Connected Account Terms of Service (https://stripe.com/connect-account/legal). Stripe will carry out its own identity verification (KYC) as part of the onboarding process.

7.2. Absence of prior holds. The Platform does NOT make holds, blocks or charges prior to the completion of the service. When a Requester accepts a Proposal, the system verifies the validity of the payment method through a Stripe SetupIntent, which confirms that the payment method is valid and authorisable, but does not generate any financial charge. The actual charge is made only through the Settlement process, once the Job has been successfully completed.

7.3. Settlement process. Once a Job reaches Completed status:

(a) The system automatically initiates the Settlement process.

(b) The Service Requester is charged the agreed amount. The Requester pays the agreed service price; the Platform Commission is deducted from the payment to the Provider and is not added to the amount paid by the Requester.

(c) The amount corresponding to the Service Provider is transferred to their account, deducting the Platform Commission and any other applicable charges in accordance with the Provider's Subscription Plan.

(d) Transfer timelines depend on the payment processor and the Provider's bank, and may range from two (2) to seven (7) working days.

(e) In any case, the maximum period from the time a Job reaches COMPLETED status to the effective transfer of funds to the Service Provider shall not exceed thirty (30) calendar days, without prejudice to the specific more favourable timeframes of each Subscription Plan. After this period, late payment interest will automatically accrue in accordance with Directive 2011/7/EU. The applicable late payment interest rate will be the current European Central Bank (ECB) interest rate plus eight (8) percentage points, in accordance with Article 2(6) of Directive 2011/7/EU.

7.4. Platform Commissions. Atbion charges a Platform Commission for each successfully completed transaction. The percentage or amount of the commission depends on the User's Subscription Plan and is detailed on the Platform's pricing page. Commissions are automatically deducted from the amount transferred to the Service Provider during the Settlement process.

7.5. Payment obligation. The Service Requester commits to maintaining a valid payment method with sufficient funds throughout the entire duration of an assigned Job. Failure to fulfil this obligation may result in account suspension and legal action to recover outstanding amounts.

7.5bis. Post-Completion Payment Failure. In the event that the charge to the Requester fails after confirmation of COMPLETED status: (a) Atbion will make up to three (3) additional charge attempts during a period of seven (7) calendar days; (b) The Requester will be notified and required to update their payment method within forty-eight (48) hours of the first failed attempt; (c) If the charge is not completed after the additional attempts, Atbion may suspend the Requester's account until the payment is regularised; (d) The Provider will be informed of the charge status and may exercise their legal claim rights directly against the Requester; (e) Atbion does not guarantee the charge and does not act as guarantor of payment, but will cooperate with the Provider by providing the necessary documentation to facilitate the claim. The Requester's payment obligation arises at the time of proposal acceptance and is not extinguished by failure of the payment method.

7.6. Payment disputes. In the event of a dispute over a payment, the User must notify Atbion through legal@viuzi.com within thirty (30) calendar days following the transaction date. Atbion will investigate the dispute and may, at its discretion, retain the disputed funds until a resolution is reached, for a maximum retention period of sixty (60) days from receipt of the dispute notification, except where an ongoing judicial or administrative process justifies a longer retention. Extension of the retention period for judicial proceedings shall not exceed one hundred and eighty (180) calendar days except by express court order.

7.7. Chargebacks. Fraudulent or unjustified chargebacks made by the Service Requester through their bank constitute a serious violation of these Terms. Atbion reserves the right to suspend the User's account, claim the chargeback amount plus associated administrative costs, and take legal action where appropriate. A distinction is made between legitimate chargebacks (unauthorised use of the payment method, billing errors) and abusive or fraudulent chargebacks. The consequences described in this section apply only to chargebacks that Atbion OÜ determines, after investigation, to be unjustified or fraudulent.

7.8. Financial Regulatory Compliance. Atbion operates in compliance with the European anti-money laundering and counter-terrorism financing regulations (EU AML Directives) and applicable international sanctions regulations. The User declares and warrants that: (a) they are not on any EU, OFAC or United Nations sanctions list; (b) the funds used on the Platform do not come from illicit activities; (c) they will not use the Platform for money laundering or terrorism financing. Atbion reserves the right to request additional due diligence documentation, freeze funds, suspend accounts and report suspicious activities to the Estonian Financial Intelligence Unit (Rahapesu Andmebüroo) or to the competent authorities, in accordance with applicable legislation.

10

Subscription Plans

8.1. Available plans. The Platform offers the following subscription tiers, each with different functionalities, limits and prices:

(a) FREE: Basic plan at no cost that allows Users to access the Platform's essential functionalities with limits on the number of jobs, service areas, facilities and team members. 5% commission on each completed job.

(b) BASIC: Intermediate plan with advanced functionalities, higher limits and a reduced commission of 3.5%, designed for professionals and small businesses.

(c) PROFESSIONAL: Professional plan with full functionalities, extended limits, priority support and a preferential commission of 2%, designed for medium-sized companies.

(d) ENTERPRISE: Bespoke plan with customised functionalities, configurable limits, dedicated support, custom integrations and individually negotiated special conditions.

8.2. Billing and renewal. Paid subscriptions are billed monthly or annually, according to the User's preference at the time of contracting. Subscriptions renew automatically at the end of each billing period, unless the User cancels the renewal before the expiry date. Atbion will notify the User at least fourteen (14) days before each automatic renewal of their paid subscription, indicating the amount that will be charged, the charge date and the instructions for cancelling the renewal. The User may cancel automatic renewal at any time through their account settings or by contacting legal@viuzi.com, with cancellation taking effect at the end of the current billing period.

8.3. Plan change. The User may change their Subscription Plan at any time. Plan upgrades apply immediately with pro-rata adjustment. Plan downgrades apply at the beginning of the next billing period, provided the User's current usage falls within the limits of the new plan.

8.4. Limit excess. If a User exceeds the limits of their Subscription Plan (number of service areas, team members, active jobs, etc.), the Platform may require an upgrade to a higher plan before allowing the creation of new resources.

8.5. Pricing and modifications. Subscription Plan prices are published on the Platform's pricing page. Atbion reserves the right to modify prices with a minimum of thirty (30) calendar days' advance notice. Price changes will not affect the current billing period.

11

Users declare and warrant that they have not offered, promised, given or authorised the payment of any bribe, illegal commission or improper payment in connection with the use of the Platform. Users will comply with all applicable anti-corruption legislation, including Estonian anti-corruption laws (Korruptsioonivastane seadus) and any equivalent legislation in their jurisdiction.

10.3. Non-Circumvention Clause. During the term of the User's account and for a period of six (6) months following its termination, the User shall refrain from contracting or transacting directly with any User for services that have been coordinated, initiated or facilitated through the Platform, with the purpose of evading Platform Commissions. This clause does not restrict the User's freedom to contact, contract or transact with other Users for services that are not related to the activity intermediated by the Platform. Breach of this clause will give rise to a proportionate contractual penalty equivalent to 25% of the transaction value, subject to judicial review in accordance with Article 162 of the Estonian Law of Obligations (VÕS), without prejudice to compensation for additional proven damages. Atbion reserves the right to monitor activity patterns to detect possible circumvention, as described in the Privacy Policy and on the basis of legitimate interest (Art. 6(1)(f) GDPR).

13

Content and Intellectual Property

11.1. Atbion's intellectual property. All intellectual property rights over the Platform, including but not limited to the software, source code, design, logos, trademarks, domain names, databases, algorithms, documentation and other original Viuzi elements, are the exclusive property of Atbion OÜ or its licensors. No provision of these Terms grants the User any right over such intellectual property, except the limited right to use the Platform in accordance with these Terms.

11.2. Platform use licence. Atbion grants the User a limited, non-exclusive, non-transferable, non-sub-licensable and revocable licence to access and use the Platform exclusively for the purposes provided for in these Terms, during the term of the User's account.

11.3. User Content. The User retains all intellectual property rights over their User Content. However, by publishing, uploading or transmitting User Content through the Platform, the User grants Atbion a worldwide, non-exclusive, royalty-free licence, sub-licensable exclusively to technical infrastructure sub-processors necessary for the operation of the Platform, and non-transferable except in the case of business assignment in accordance with Section 24.2, to use, reproduce, modify, adapt, publish, translate, distribute and display such content to the extent necessary to:

(a) Operate, maintain and improve the Platform.

(b) Promote and commercialise the Platform and Atbion's services, with the following limitations: the use of user content to promote or commercialise the Platform will be limited to anonymised or aggregated content. For promotional uses that identify the user, separate express consent will be required.

(c) Comply with legal obligations.

11.4. Duration of the licence over User Content. The licence described in Section 11.3 will remain in force while the User Content remains on the Platform and for a reasonable period after its deletion, necessary for the technical operation of backup and cache systems. For reviews and ratings, the licence is perpetual and irrevocable to the extent necessary to maintain the integrity of the Platform's reputation system, without prejudice to the right to erasure recognised in Article 17 of the GDPR. In the event of exercising the right to erasure, Atbion OÜ may retain the review data in anonymised or aggregated form.

11.4bis. Intellectual Property of Service Deliverables. The ownership of intellectual property generated in the execution of services contracted through the Platform is governed by the provisions of the Intellectual Property Policy. In the absence of a specific agreement between Provider and Requester, the intellectual property resulting from the work (foreground IP) remains with the Provider, who grants the Requester a perpetual, non-exclusive and non-transferable licence to use the deliverable in the territory and for the purposes of the engagement. The parties are strongly encouraged to agree in writing on IP ownership before work commences.

11.5. Content responsibility. The User is solely responsible for their User Content and declares and warrants that:

(a) They own or have the necessary rights over all content they publish.

(b) The content does not infringe intellectual property rights, privacy, honour or any other third-party rights.

(c) The content is not illegal, defamatory, misleading, obscene or otherwise objectionable.

11.6. Content removal. Atbion reserves the right to remove, without prior notice, any User Content that, in its reasonable judgement, violates these Terms, is illegal or may generate liability for Atbion. In accordance with the Digital Services Regulation (EU) 2022/2065, Atbion will provide the affected User with a clear statement of the reasons for the removal decision and the available appeal mechanisms.

14

Review and Rating System

12.1. Purpose. The review and rating system aims to provide transparent and reliable information about the quality of services and the experience of transactions on the Platform, facilitating informed decision-making by Users.

12.2. Right to review. After the completion of a Job, both the Service Requester and the Service Provider may publish a review and rating about the other party, within the timeframe enabled by the Platform.

12.3. Review principles. Reviews must:

(a) Be based on real and direct experiences arising from transactions completed on the Platform.

(b) Be honest, objective and respectful.

(c) Refer exclusively to service quality, professionalism, communication and other aspects relevant to the transaction.

12.4. Prohibitions. The following are prohibited:

(a) Publishing reviews containing personal information about other Users that is not relevant to the service assessment.

(b) Using reviews as a means of blackmail, extortion or undue pressure.

(c) Manipulating the rating system in any way, including the conduct described in Section 10.1(d).

12.5. Moderation. Atbion reserves the right to moderate, edit or remove reviews that violate these Terms or Platform policies. Moderation decisions will be communicated to the affected User with the corresponding reasoning.

12.6. Response to reviews. Users who receive a review may publish a public response to it, subject to the same principles and prohibitions applicable to reviews.

12.7. Review authenticity. In accordance with Viuzi's internal review integrity policy and Article 31 of Regulation (EU) 2022/2065 (DSA), Viuzi guarantees the authenticity of reviews by limiting their publication exclusively to Users who have completed a job through the Platform. It is not possible to publish a review without an associated verified transaction.

15

Cancellation and Refund Policy

13.1. Cancellation by the Service Requester.

(a) Before assignment: The Requester may cancel a Job at any time before it is assigned to a Service Provider, at no cost.

(b) After assignment and before commencement: The Requester may cancel an assigned Job before the Provider begins service provision. Cancellation fees may apply according to the conditions established at the time of Proposal acceptance.

(c) During service provision: Cancellation of an in-progress Job may give rise to an obligation to compensate the Service Provider for the work actually performed up to the time of cancellation, according to Atbion's assessment.

13.2. Cancellation by the Service Provider.

(a) Before commencing the service: The Provider may withdraw from an assigned Job before commencing service provision. Repeated cancellations may negatively affect the Provider's reputation on the Platform and may give rise to sanctions.

(b) During service provision: A Provider's withdrawal during service provision will be considered a serious breach, unless there are justified and duly documented reasons. Atbion will assess the circumstances and may apply corresponding sanctions.

13.3. Cancellation by Atbion. Atbion reserves the right to cancel a Job at any time when:

(a) A breach of these Terms by either party is detected.

(b) There are reasonable grounds to suspect fraud, illegal conduct or risk to Users' security.

(c) Technical or legal circumstances prevent the Job from continuing.

13.4. Refunds. Refunds will be processed according to the following rules:

(a) Since the charge is made only after Job completion, refunds are only applicable when a charge has been made to the Service Requester.

(b) Refunds will be processed through the same payment method used for the original transaction.

(c) The refund processing time depends on the payment processor and the bank, and may range from five (5) to fifteen (15) working days.

(d) Platform Commissions may be non-refundable, unless the cancellation is attributable to Atbion.

13.5. Cancellation disputes. Disputes relating to cancellations will be resolved in accordance with the dispute resolution procedure established in Section 23.

16

Account Suspension and Termination

14.1. Suspension by Atbion. Before proceeding with suspension for breach of the Terms (except in cases of immediate action in the following section), Atbion will grant the User a remediation period of fifteen (15) calendar days from notification of the detected infringement. Atbion reserves the right to temporarily or indefinitely suspend a User's account, without prior notice exclusively in the cases provided for in Article 4(5) of Regulation (EU) 2019/1150: (a) legal or regulatory obligation, (b) serious repeated breaches, or (c) imminent risk to users' security. In all other cases, the suspension will be notified with the advance notice provided in Section 14.2. The grounds that may give rise to suspension include, among others, when:

(a) A violation of these Terms or Platform policies occurs.

(b) There are reasonable grounds to suspect fraud, illegal activity or risk to the security of the Platform or other Users.

(c) A request is received from a competent judicial or administrative authority.

(d) The account shows unusual activity suggesting unauthorised or compromised access.

(e) The User does not provide the verification documentation requested under Section 2.4.

14.2. Suspension notification. Unless any of the circumstances that justify suspension without prior notice apply — namely: imminent and proven threat of fraud, active cyberattack, ongoing criminal activity, or mandatory legal obligation — Atbion will notify the User of their account suspension indicating:

(a) The reasons for the suspension.

(b) The estimated duration of the suspension, if temporary.

(c) The actions the User can take to resolve the situation.

(d) The available appeal mechanisms.

The statement of reasons will include the specific facts or circumstances, including the content of third-party notifications where applicable, that motivated the decision, in accordance with Article 4(1) of the P2B Regulation.

For professional users (Service Providers), account suspension or termination will be notified with a minimum of thirty (30) days' advance notice on a durable medium, including detailed reasoning in accordance with Article 4 of Regulation (EU) 2019/1150, except for the exceptions provided for in that Regulation (legal obligation, repeated infringements, security risk).

14.3. Termination by the User. The User may request termination of their account at any time through the Platform or by contacting legal@viuzi.com. Account termination:

(a) Does not release the User from pending obligations, including outstanding payments, ongoing jobs and any other liability arising from their use of the Platform.

(b) Does not affect published reviews and ratings, which will remain on the Platform in accordance with Section 11.4.

(c) Will result in the deletion of the User's personal data in accordance with the Privacy Policy and applicable data protection legislation.

14.4. Termination by Atbion. Atbion reserves the right to permanently terminate a User's account when:

(a) Suspension is not a sufficient or proportionate measure.

(b) The User has been suspended on multiple occasions.

(c) The User has engaged in serious or repeated violations of these Terms.

(d) Required by a competent authority.

14.4bis. Publication of frequent grounds. In accordance with Article 4(4) of the P2B Regulation, Atbion OÜ will publish on its website a general statement on the most frequent grounds for restriction, suspension and termination of professional user accounts.

14.5. Effects of termination. After account termination:

(a) The User's access to the Platform will be immediately revoked.

(b) Funds pending settlement will be processed in accordance with applicable policies, and may be retained where there are pending disputes or investigations, for a maximum retention period of ninety (90) days from the date of account termination, unless an ongoing judicial, administrative or investigative process justifies a longer retention, in which case Atbion will inform the User.

(c) Obligations that by their nature must survive termination (including, without limitation, sections relating to intellectual property, limitation of liability, indemnification and applicable law) will remain in force.

17

Limitation of Liability

15.1. General limitation. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LEGISLATION, ATBION, ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND SUPPLIERS SHALL NOT BE LIABLE TO THE USER OR THIRD PARTIES FOR:

(a) Indirect, incidental, special, consequential or punitive damages of any nature.

(b) Loss of profits, revenue, data, business opportunities or goodwill.

(c) Damages arising from business interruption.

(d) The cost of acquiring substitute services.

Regardless of the cause of action (contractual, tortious, negligence, strict liability or other), even if Atbion has been advised of the possibility of such damages.

15.2. Quantitative limit. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LEGISLATION, THE TOTAL CUMULATIVE LIABILITY OF ATBION TO THE USER FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

(f) The refund obligations expressly provided for in these Terms.

15.5. Insurance and Physical Services. Atbion does not provide insurance coverage of any kind for services contracted through the Platform. Service Providers are solely responsible for maintaining professional liability insurance and any other coverage required by applicable legislation. Service Requesters are responsible for verifying the insurance coverage of Providers before allowing access to their premises. Atbion shall not be liable for property damage, personal injury, financial losses or any other harm arising from the physical provision of services between Users.

15.6. Product and Tool Liability. Liability for damage caused by defective tools, equipment or materials used during service provision lies exclusively with the Service Provider or the product manufacturer, in accordance with Directive 85/374/EEC on liability for defective products and Regulation (EU) 2024/2853 on liability for defective products. Atbion assumes no liability with respect to products, tools or materials used by Providers.

15.7. Non-Algorithmic Discrimination. Atbion commits to ensuring that the Platform's classification, matching and recommendation algorithms do not discriminate on grounds of race, gender, religion, national origin, disability, sexual orientation, age or any other protected characteristic. Atbion will carry out periodic algorithmic bias assessments in accordance with Regulation (EU) 2024/1689 (AI Act) and will take corrective measures when significant biases are identified. The aggregated results of these assessments will be included in the annual transparency report. The AI systems used by the Platform (including automated content moderation and classification algorithms) are classified as limited-risk systems in accordance with Regulation (EU) 2024/1689. Atbion OÜ complies with the transparency obligations of Article 50, informing users when they interact with AI systems or when their content is analysed by automated systems.

18

Disclaimer of Warranties

16.4. Non-waivable rights. The warranty exclusions contained in this section do not affect the non-waivable rights that European Union commercial legislation or applicable national legislation may recognise to the User in their capacity as a professional or legal entity.

16.5. Availability and Maintenance. Atbion reserves the right to interrupt, suspend or discontinue, temporarily or permanently, the Platform or any of its functionalities, with or without prior notice, for maintenance, updates, improvements or other operational purposes. Atbion shall not be liable to the User for any interruption, suspension or discontinuation of the Platform, except for the availability commitments established in Section 16.6. Atbion offers no service level agreement (SLA) unless expressly agreed in writing under an Enterprise Plan.

16.6. Platform Availability. Atbion establishes as a service level target a monthly availability of ninety-nine per cent (99%) of the Platform, calculated excluding scheduled maintenance windows notified at least twenty-four (24) hours in advance, which are excluded from the availability calculation. This target does not constitute a contractual availability guarantee. Failure to meet this target does not generate an automatic right to financial compensation, but will be considered in the resolution of claims in accordance with Section 23. Unscheduled urgent interruptions will be communicated as soon as possible.

19

Indemnification

17.1. Indemnification obligation. The User commits to defending, indemnifying and holding harmless Atbion, its directors, employees, agents, partners and suppliers from and against any claims, demands, actions, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from or related to:

20.2. In the event that a provision is declared null or unenforceable, the parties will negotiate in good faith to replace it with a valid and enforceable provision that reflects, to the greatest extent possible, the original economic and legal intention of the provision declared null or unenforceable.

20.3. Atbion's waiver of the exercise of any right or action under these Terms shall not constitute a waiver of future exercises of that right or action. No waiver shall be effective unless made in writing and signed by an authorised representative of Atbion.
